    Explanatory Note
    Pursuant to General Instruction E of Form S-8, Hewlett Packard Enterprise Company, a Delaware corporation (the “Company” or the “Registrant”), is filing this Registration Statement on Form S-8 with the Securities and Exchange Commission (the “Commission”) to register (i) an additional 22,000,000 shares of common stock, par value $0.01 per share, of the Company (the “Common Stock”) for issuance pursuant to the Hewlett Packard Enterprise Company 2021 Stock Incentive Plan (as amended from time to time, the “2021 Plan”) and (ii) an additional $125,000,000 of deferred compensation obligations pursuant to the Hewlett Packard Enterprise Executive Deferred Compensation Plan (as amended and restated, the "EDCP").

    In connection with (i) the 2021 Plan, the Registrant previously filed with the Commission a registration statement on Form S-8 (Registration No. 333-279950) on June 5, 2024, a registration statement on Form S-8 (Registration No. 333-272379) on June 2, 2023, a registration statement on Form S-8 (Registration No. 333-265378) on June 2, 2022, a registration statement on Form S-8 (Registration No. 333-255839) on May 6, 2021, and two registration statements on Form S-8 POS (Registration Nos. 333-217152 and 333-207671) on May 6, 2021 (collectively, the “Prior 2021 Plan Registration Statements”) and (ii) the EDCP, the Registrant previously filed with the Commission a registration statement on Form S-8 (Registration No. 333-255839) on May 6, 2021 and a registration statement on Form S-8 (Registration No. 333-207679) on October 30, 2015 (collectively, the "Prior EDCP Registration Statements", and together with the Prior 2021 Plan Registration Statements, the "Prior Registration Statements").     The securities being registered pursuant to the EDCP represent obligations (the “Obligations”) of the Registrant to pay deferred compensation in the future in accordance with the terms of the EDCP, which is filed as Exhibit 4.8 to this Registration Statement.

    The Obligations are general unsecured obligations of the Registrant to pay deferred compensation in the future according to the EDCP from the general assets of the Registrant, and rank equally with other unsecured and unsubordinated indebtedness of the Registrant.

    The amount of compensation to be deferred by each participant is determined in accordance with the EDCP based on elections by the participant. Certain eligible employees may defer base salary in excess of the Section 401(a)(17) limit of the Internal Revenue Code of 1986, as amended, with annual minimum deferred contributions requirements and limitations on the maximum percentage of an eligible bonus that may be deferred. Amounts credited to a participant’s account are credited with deemed investment returns equal to the experience of selected investment funds offered under the EDCP and elected by the participant. The Obligations are generally payable upon a date or dates selected by the participant in accordance with the terms of the EDCP, subject to exceptions for in-service withdrawals and certain terminations of employment. The Obligations generally are payable in the form of a lump-sum distribution or in installments, at the election of the participant made in accordance with the terms of the EDCP.

    Participants or beneficiaries generally may not sell, transfer, anticipate, assign, hypothecate or otherwise dispose of any right or interest in the EDCP. A participant may designate one or more beneficiaries to receive any portion of Obligations payable in the event of death. The Registrant reserves the right to amend or terminate the EDCP at any time and for any reason.

    David Antczak, Senior Vice President, General Counsel and Corporate Secretary of the Registrant, will pass upon the validity of the issuance of the shares of Common Stock offered by this Registration Statement.     Section 145 of the Delaware General Corporation Law (the “DGCL”) authorizes corporations to limit or eliminate the personal liability of directors, officers, employees or agents to corporations and their stockholders in certain situations for monetary damages for breaches of directors’ officers' fiduciary duties as directors or officers, as applicable, in the circumstances therein provided and the Registrant’s restated certificate of incorporation includes such an exculpation provision. The Registrant’s restated certificate of incorporation and second amended and restated bylaws include provisions that indemnify directors or officers, to the fullest extent allowable under the DGCL, for monetary damages for actions taken as a director or officer, as applicable, of the Registrant or any predecessor of the Registrant, or for serving at the Registrant’s request or the request of any predecessor of the Registrant as a director or officer or another position at another corporation or enterprise, as the case may be. Article VIII of the Registrant’s restated certificate of incorporation includes such an indemnification provision. The Registrant’s second amended and restated bylaws also provide that the Registrant must indemnify and advance actual and reasonable expenses to its directors and officers, subject to its receipt of an undertaking from the indemnified party as may be required under the DGCL. The Registrant’s second amended and restated bylaws expressly authorize the Registrant to carry directors’ and officers’ insurance to protect the Registrant, its directors, officers, agents and employees for certain liabilities.
