    EXPLANATORY NOTE
    At the Huron Consulting Group Inc. (the "Company") 2024 Annual Meeting of Stockholders held on May 3, 2024, the Company's stockholders approved an amendment to the Huron Consulting Group Inc. Stock Ownership Participation Program, as amended (the "Plan"), to authorize an additional 200,000 shares of Common Stock for issuance under the Plan.
    The Company is filing this Registration Statement on Form S-8 to register an aggregate of 225,000 shares of its common stock, par value $0.01 per share (“Common Stock”), which may be issued pursuant to the Plan, consisting of (i) 200,000 shares of Common Stock reserved for issuance pursuant to the terms of the Plan and (ii) 25,000 shares of Common Stock that may become available for issuance pursuant to the share counting and share recycling provisions of the Plan, including upon the expiration, cancellation, forfeiture or other termination of awards. In addition, in accordance with Rule 416(a) under the Securities Act of 1933, as amended, this Registration Statement shall be deemed to cover any additional shares of Common Stock, which may be issued pursuant to the Plan to prevent dilution from stock splits, stock dividends or similar transactions.

    Section 145 of the Delaware General Corporation Law (the “DGCL”) provides that a corporation may indemnify directors and officers as well as other employees and individuals against expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by such person in connection with any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative, in which such person is made a party by reason of the fact that the person is or was a director, officer, employee or agent of the corporation (other than an action by or in the right of the corporation-a “derivative action”), if such person acted in good faith and in a manner such person reasonably believed to be in or not opposed to the best interests of the corporation and, with respect to any criminal action or proceeding, had no reasonable cause to believe such person’s conduct was unlawful. A similar standard is applicable in the case of derivative actions, except that indemnification only extends to expenses (including attorneys’ fees) actually and reasonably incurred by such person in connection with the defense or settlement of such action, and the statute requires court approval before there can be any indemnification where the person seeking indemnification has been found liable to the corporation. The statute provides that it is not exclusive of other indemnification that may be granted by a corporation’s bylaws, disinterested director vote, stockholder vote, agreement or otherwise.
    The Company’s Restated Certificate of Incorporation as amended provides that no director or officer shall be liable to the Company or the Company’s stockholders for monetary damages for breach of fiduciary duty as a director or officer, except to the extent such exemption from liability or limitation on liability is not permitted under the DGCL, as now in effect or as amended. Currently, Section 102(b)(7) of the DGCL prohibits any provision in a company's certificate of incorporation that eliminates or limits liability for the following:
    •any breach of a director’s or officer's duty of loyalty to the Company or its stockholders;
    •any act or omission of a director or officer not in good faith or which involved intentional misconduct or a knowing violation of law;
    •unlawful payments of dividends or unlawful stock repurchases or redemptions as provided in Section 174 of the DGCL;
    •any transaction from which a director or officer derived an improper personal benefit; and
    •any action by or in the right of the corporation against an officer
    The Company’s Restated Certificate of Incorporation as amended and the Amended and Restated Bylaws also provide that the Company shall indemnify its directors and officers to the fullest extent permitted by the DGCL. The Company maintains liability insurance for its directors and officers. Such insurance is available to the Company’s directors and officers in accordance with its terms.

    Huron Announces Record Third Quarter 2025 Financial Results and Raises 2025 Adjusted Diluted EPS Guidance

    THIRD QUARTER 2025 FINANCIAL HIGHLIGHTS Revenues before reimbursable expenses increased $62.3 million, or 16.8%, to a record $432.4 million in Q3 2025 from $370.0 million in Q3 2024.
