EXPLANATORY NOTE
This Registration Statement is being filed by the Registrant to register 1,250,000 ordinary shares reserved and available for issuance pursuant to the LOBO EV TECHNOLOGIES LTD. 2025 Equity Incentive Plan adopted by the Board of Directors of the Company (the “2025 Equity Incentive Plan”).
