Pursuant to General Instruction E to Form S-8, Patria Investments Limited (the “Registrant”) is filing this Registration Statement on Form S-8 (this “Registration Statement”) with the U.S. Securities and Exchange Commission (the “Commission”) to register additional Class A common shares, par value US$0.0001 per share, for issuance under the Patria Investments Limited Premium Bonus Share Plan. This Registration Statement hereby incorporates by reference the contents of the Registrant’s registration statement on Form S-8 filed with the Commission on May 16, 2024 (Registration No. 333-279469).
