This Registration Statement is being filed by the Registrant to register 4,500,000 ordinary shares reserved and available for issuance pursuant to the Prestige Wealth Inc. Equity Incentive Plan adopted by the Board of Directors of the Company (the “Equity Incentive Plan”).
