(the “Registrant”) is filing this Registration Statement with the Securities and Exchange Commission (the “Commission”) to register (i) an additional 1,600,000 shares of common stock, par value of $0.01 per share (“Common Stock”), issuable to eligible persons under its 2006 Employee Equity Incentive Plan, as amended (the “Equity Incentive Plan”) and (ii) an additional 2,200,000 shares of Common Stock issuable to eligible persons under its Employee Stock Purchase Plan, as amended (the “ESPP”).
