AMENDMENT NO. 11 TO SCHEDULE 13D

This Amendment No. 11 to Schedule 13D (the “Amendment”) relates to Common Stock, par value $0.01 per share (“Common Stock”), of Bally’s Corporation, a Delaware corporation (the “Issuer” or the “Company”). This Amendment is being filed to amend the Schedule 13D that was originally filed on March 29, 2019 and amended on June 26, 2019, July 15, 2019, August 2, 2019, November 19, 2019, February 13, 2020, February 20, 2020, August 7, 2020, September 17, 2020, November 20, 2020 and December 15, 2020 (as amended, the “Schedule 13D”). Unless otherwise indicated in this Amendment, all capitalized terms have the meanings ascribed to them in the Schedule 13D.

This Amendment is being filed to amend and supplement Items 4 and 5 of the Schedule 13D as set forth below.

Item 4. Purpose of Transaction

Entities affiliated with the Reporting Persons have entered into a margin loan facility with a financial institution, acting on its own behalf and on behalf of such other financial institutions as may serve as lenders thereunder from time to time. Securities beneficially owned by the Reporting Persons, including shares of the Issuer's Common Stock, may be pledged as collateral for margin loans under the loan facility from time to time. Shares of the Issuer’s Common Stock beneficially owned by the Reporting Person have been so pledged. In the event of a default, the lenders could take possession of all or a portion of the pledged shares. Margin loans extended under the loan facility are subject to additional customary terms and conditions.

(c) The Reporting Persons did not effect any transactions in shares of the Issuer’s Common Stock during the sixty day period prior to the filing of this Schedule 13D, except as follows:
