EXPLANATORY NOTE

This Amendment No. 7 to Schedule 13D (this “Amendment No. 7” or this “Statement”) is being filed with respect to the beneficial ownership of Common Stock, par value $0.000001 per share (the “Common Stock”), of Barfresh Food Group Inc. (the “Issuer”). This Amendment No. 7 amends and restates in its entirety Item 5 of the Schedule 13D originally filed on March 23, 2020, as amended. The Reporting Persons have not acquired or disposed of any securities of the Issuer since the filing of Amendment No. 6 to this Schedule 13D. However, on March 22, 2024, the Issuer filed a Form 10-K reporting an increase in the number of shares of Common Stock outstanding. This resulted in changes to the Reporting Persons’ percentages of beneficial ownership of Common Stock, and the Reporting Persons are filing this Amendment No. 7 to report such changes in percentages.

(a)          As of the end of business on each of March 22, 2024 (being the Event Date of this Amendment No. 7) and March 25, 2024 (being the filing date of this Amendment No. 7), the Reporting Persons beneficially own:

Each Reporting Person disclaims beneficial ownership of any shares of Common Stock other than the shares beneficially owned directly by such Reporting Person.

The foregoing percentages set forth in this response are based on 14,507,146 shares of Common Stock outstanding as of March 18, 2024, as reported in the Issuer’s Form 10-K filed with the SEC on March 22, 2024.

(b)          The Fund has, and each of the Investment Manager, IM Holdings and Mr. Borus may be deemed to have, the power to vote or direct the vote of and to dispose or direct the disposition of 1,110,982 shares of Common Stock reported herein. Mr. Borus has the power to vote or direct the vote of and to dispose or direct the disposition of 329,903 shares of Common Stock reported herein.

(c)           No transactions in the Common Stock have been effected by any Reporting Person in the last sixty (60) days.
