Florence, Makhzoumi and Sandell (the “Plural Managers”) are managers of NEA 15 LLC, NEA 16 LLC, NEA 17 LLC, NEA 18 VGE LLC and NEA BH LLC. Behbahani, Chang, and Walker (the “Quadral Managers”) are managers of NEA 16 LLC, NEA 17 LLC, NEA 18 VGE LLC and NEA BH LLC. Mathers and Yang (the “Trial Managers”) are managers of NEA 17 LLC, NEA 18 VGE LLC and NEA BH LLC. Baskett is a manager of NEA 15 LLC, NEA 16 LLC, NEA 17 LLC and NEA BH LLC.

During the five years prior to the date hereof, none of the Reporting Persons has been convicted in a criminal proceeding or has been a party to a civil proceeding ending in a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.
Each of the Funds and the GPLPs is a Delaware limited partnership. Each of the GP LLCs and NEA BH LLC is a Delaware limited liability company. Each of the Managers is a United States citizen.
Item 4. | Purpose of Transaction. |
Item 4 of the Schedule 13D is amended and supplemented as follows:
On May 19, 2023, the Issuer filed a Certificate of Amendment to the Ninth Amended and Restated Certificate of Incorporation of the Company with the Secretary of State of the State of Delaware to effect a 1-for-80 reverse stock split (the “Reverse Split”) of the outstanding shares of the Issuer’s Common Stock. Pursuant to the Reverse Split (i) NEA 15 now holds a total of 1,338,022 shares of the Issuer’s Common Stock (the “NEA 15 Shares”); (ii) NEA 15-OF now holds a total of 43,678 shares of the Issuer’s Common Stock (the “NEA 15-OF Shares”); (iii) NEA 16 now holds a total of 599,064 shares of the Issuer’s Common Stock (the “NEA 16 Shares”); (iv) NEA 17 may now be deemed to beneficially own 862,915 shares of the Issuer’s Common Stock (the “NEA 17 Shares”), which is the sum of (x) NEA 17’s holding of 299,788 shares of the Issuer’s Common Stock and (y) NEA 17’s deemed beneficial ownership of 563,127 shares of the Issuer’s Common Stock (the “NEA 17 Preferred Shares”) as a result of NEA 17’s option to convert its 75,000 shares of the Issuer’s Series A Convertible Perpetual Preferred Stock, par value $0.0001 per share (“Series A Preferred Stock”) and 37,700 shares of the Issuer’s Series B Convertible Perpetual Preferred Stock, par value $0.0001 per share (“Series B Preferred Stock”) into shares of the Issuer’s Common Stock; (v) NEA 18 VGE would be, subject to the following paragraph, deemed to beneficially own 1,266,425 shares of the Issuer’s Common Stock (the “Post Split NEA 18 VGE Shares”), as a result of NEA 18 VGE’s option to convert its 125,000 shares of the Series A Preferred Stock and 100,000 shares of the Series B Preferred Stock into shares of the Issuer’s Common Stock; (vi) NEA BH now holds a total of 322,718 shares of the Issuer’s Common Stock (the “NEA BH Shares”) and (vii) NEA BH II now holds a total of 123,648 shares of the Issuer’s Common Stock (the “NEA BH II Shares”).
On August 4, 2023, the Issuer entered into a credit agreement (as amended, supplemented, restated or otherwise modified from time to time, the “Credit Agreement”), among the Issuer, NEA 18 VGE and the lenders from time to time party thereto (the “Lenders”) to provide for a credit facility pursuant to which, among other things, the Lenders have provided $60,000,000 delayed draw term loan commitments (the “Total Borrowing Commitment”) and the Issuer has agreed to the issuance of warrants to acquire shares of the Issuer’s Common Stock at an exercise price of $0.01 per share (the “Warrants”). Pursuant to the Credit Agreement, the Issuer and NEA 18 VGE entered into a warrantholders agreement (the “Warrantholders Agreement”) setting forth the rights and obligations of NEA 18 VGE as holders of up to 1,656,789 Warrants (the “Maximum Warrants”).
On August 11, 2023, NEA 18 VGE funded a Borrowing (as defined in the Credit Agreement) for $30,000,000 (the “First Borrowing Amount”). On the following Closing Date (as defined in the Warrantholders Agreement) the Issuer issued 828,395 Warrants equal to the product of (i) the quotient of (A) the First Borrowing Amount divided by (B) the Total Borrowing Commitment multiplied by (ii) the Maximum Warrants. Including the Post Split NEA 18 VGE Shares, NEA 18 VGE may now be deemed to beneficially own 2,094,820 shares of the Issuer’s Common Stock (the “NEA 18 VGE Shares”).

The foregoing descriptions of the Credit Agreement and the Warrantholders Agreement are qualified in their entirety by reference to the full text of such agreements. The Credit Agreement and the Warrantholders Agreement are included as Exhibit 10.1 and Exhibit 10.3 respectively, of the Issuer’s Form 8-K, filed with the Securities and Exchange Commission (“SEC”) on August 7, 2023 (the “Form 8-K”) and are incorporated herein by reference.
Subject to the terms of the Credit Agreement and the Warrantholders Agreement and depending on market conditions, its continuing evaluation of the business and prospects of the Issuer and other factors, the Funds and other Reporting Persons may dispose of or acquire additional shares of the Issuer. Except as set forth above, none of the Reporting Persons has any present plans which relate to or would result in:

(d) | Any change in the present board of directors or management of the Issuer, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board; |
(e) | Any material change in the present capitalization or dividend policy of the Issuer; |
(f) | Any other material change in the Issuer’s business or corporate structure; |
(g) | Changes in the Issuer’s charter, bylaws or instruments corresponding thereto or other actions which may impede the acquisition of control of the Issuer by any person; |
(h) | Causing a class of securities of the Issuer to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association; |

By virtue of their relationship as affiliated entities, whose Control Entities have overlapping individual controlling persons, each of the Funds may be deemed to share the power to direct the disposition and vote of the Firm Shares. As general partners of the NEA Venture Funds, each of the GPLPs may also be deemed to own beneficially the Firm Shares. As the sole general partner of NEA Partners 15 and NEA Partners 15-OF, NEA 15 LLC may also be deemed to own beneficially the Firm Shares. As the sole general partner of NEA Partners 16, NEA 16 LLC may also be deemed to own beneficially the Firm Shares.
