SCHEDULE 13D

The Schedule 13D filed with the Securities and Exchange Commission on November 22, 2017, as previously amended (the “Schedule 13D”), by Icahn Partners Master Fund LP, Icahn Partners LP and affiliates, with respect to the shares of common stock, par value $0.001 per share (“Shares”), of Sandridge Energy, Inc. (the “Issuer”), is hereby further amended to furnish the additional information set forth herein. All capitalized terms contained herein but not otherwise defined shall have the meanings ascribed to such terms in the Schedule 13D.

Item 4. Purpose of Transaction

Item 4 of the Schedule 13D is hereby amended to add the following paragraphs at the end thereof:

On September 2, 2021, the Issuer repaid in full all outstanding indebtedness and terminated all commitments and obligations under the Credit Agreement dated as of November 30, 2020 (the “Credit Agreement”), among the Issuer, as Borrower, IEP Energy Holding LLC, as Lender, and Icahn Agency Services LLC, as Administrative Agent. The Issuer’s payment to IEP Energy Holding LLC was approximately $20.0 million, which satisfied all of the Issuer’s obligations under the Credit Agreement. In connection with the repayment of indebtedness by the Issuer, all security interests, mortgages, liens and encumbrances granted by the Issuer and its subsidiaries under the Credit Agreement were automatically released.
