EXPLANATORY NOTE

As a result of a recent sales of Common Shares (defined below), the Reporting Person no longer beneficially own more than 5% of the Common Shares. So, upon the filing of this amendment, the Reporting Person will cease to be reporting persons with regard to the Common Shares.

ITEM 1. SECURITY AND ISSUER

This Statement on Schedule 13D/A (this “Statement”) relates to the common shares, par value $0.001 per share (the “Common Share”), of TDH Holdings, Inc., a company organized under the laws of the British Virgin Islands (the “Company”), whose principal office is located at Room 1809, Financial Square, 197 Shuangzhu Road, Huangdao District, Qingdao, Shandong Province, People’s Republic of China.

Easthill Capital Management LLC (“Easthill”) has not been: (i) convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors) or (ii) a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and, as a result of such proceeding, is or was subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.

ITEM 3. SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATION

On January 10, 2022 Easthill sold 7,639,000 million Common Shares at a price of $1.04 per share and 31,000 thousand shares at a price of $1.12 per share.

ITEM 4. PURPOSE OF TRANSACTION

On January 10, 2022 Easthill sold 7,639,000 million Common Shares at a price of $1.04 per share and 31,000 thousand shares at a price of $1.12 per share. Easthill originally acquired the Common Shares from the Company for investment purposes.

ITEM 5. INTEREST IN SECURITIES OF THE ISSUER

Easthill beneficially owns 0 Common Shares, representing 0% of the outstanding Common Shares of the Company (based upon 104,373,621Common Shares outstanding as of the date of this filing).

Mr. Philip Zou, the managing member of Easthill has the sole power to vote or direct the vote and the sole power to dispose or direct the disposition of the 7,670,000 common shares.
