(a)	Amount beneficially owned:

As of the close of business on January 27, 2021:

(i)

The Onshore Fund beneficially owned 1,731,336 shares of Common Stock, including 162,200 shares of Common Stock underlying call options currently exercisable;

(ii)

The Offshore Master Fund beneficially owned 1,056,075 shares of Common Stock, including 98,900 shares of Common Stock underlying call options currently exercisable. The Offshore Feeder Fund, as the owner of a controlling interest in the Offshore Master Fund, may be deemed to have beneficially owned the shares of Common Stock beneficially owned by the Offshore Master Fund;

(iii)

The Wavefront Fund beneficially owned 462,963 shares of Common Stock, including 38,900 shares of Common Stock underlying call options currently exercisable;

(iv)

The Qena Master Fund beneficially owned 200,377 shares of Common Stock;

(v)

The Long Fund beneficially owned 88,623 shares of Common Stock;

(vi)

The Cardinal Fund beneficially owned 516,721 shares of Common Stock;

(vii)

LCG Holdings, as the general partner of the Onshore Fund, the Offshore Master Fund, the Wavefront Fund, the Qena Master Fund, the Long Fund and the Cardinal Fund, may be deemed to have beneficially owned the 4,056,095 shares of Common Stock beneficially owned by the Onshore Fund, the Offshore Master Fund, the Wavefront Fund, the Qena Master Fund, the Long Fund and the Cardinal Fund, including 300,000 shares of Common Stock underlying call options currently exercisable;

(viii)

Luxor Capital Group, as the investment manager of the Onshore Fund, the Offshore Feeder Fund, the Offshore Master Fund, the Wavefront Fund, the Qena Master Fund, the Long Fund and the Cardinal Fund (collectively, the “Funds”), may be deemed to have beneficially owned the 4,056,095 shares of Common Stock beneficially owned by the Funds, including 300,000 shares of Common Stock underlying call options currently exercisable;

(ix)

Luxor Management, as the general partner of Luxor Capital Group, may be deemed to have beneficially owned the 4,056,095 shares of Common Stock beneficially owned by Luxor Capital Group, including 300,000 shares of Common Stock underlying call options currently exercisable; and

(x)

Mr. Leone, as the managing member of Luxor Management, may be deemed to have beneficially owned the 4,056,095 shares of Common Stock beneficially owned by Luxor Management, including 300,000 shares of Common Stock underlying call options currently exercisable.

As of the close of business on January 27, 2021, the Reporting Persons may be deemed to have beneficially owned 4,056,095 shares of the Issuer’s Common Stock or 5.03% of the Issuer’s Common Stock outstanding, which percentage was calculated based on 80,697,696 shares of the Issuer’s Common Stock outstanding as of October 19, 2020, as per the information reported in the Issuer’s Form 10-Q filed October 28, 2020. Specifically, as of the close of business on January 27, 2021 each Reporting Person beneficially owned such percentage as reflected on Item 11 of the applicable Cover Page hereto.
