    (1)Reflects 8,944,343 Class A ordinary shares of Ajax I (the “Company”), par value $0.0001 per share (“Class A Ordinary Shares”), issuable upon conversion of 8,944,343 Class B ordinary shares of the Company, par value $0.0001 per share (“Class B Ordinary Shares”). The Class B Ordinary Shares will automatically convert into Class A Ordinary Shares at the time of the Company’s initial business combination, or earlier at the option of the holder, on a one-for-one basis, subject to adjustment. Ajax I Holdings, LLC (the “Sponsor”) is the record holder of the shares reported herein. The Sponsor is managed by an entity wholly-owned by Daniel Och. Mr. Och may be deemed to beneficially own shares held by the Sponsor by virtue of his control over the Sponsor. As such, Mr. Och may be deemed to have or share beneficial ownership of the Class B Ordinary Shares held directly by the Sponsor.

    AGREEMENT OF JOINT FILING

     

    This joint filing agreement (this “Agreement”) is made and entered into as of this 16th day of February 2021, by and among Ajax I Holdings, LLC and Daniel Och.

     

    The parties to this Agreement hereby acknowledge and agree that the foregoing statement on Schedule 13G  in respect of the Class A ordinary shares of Ajax I, par value $0.0001 per share, is filed on behalf of each of the parties to this Agreement and that all subsequent amendments to this statement on Schedule 13G may be filed on behalf of each of the undersigned without the necessity of filing additional joint filing agreements. The parties to this Agreement acknowledge that each shall be responsible for the timely filing of such amendments, and for the completeness and accuracy of the information concerning him or it contained herein or therein, but shall not be responsible for the completeness and accuracy of the information concerning the others, except to the extent that he or it knows or has reason to believe that such information is inaccurate.
