Consists of (a) 1,000,000 shares of Class A Common Stock purchased pursuant to a subscription agreement dated August 17, 2021 (the "PIPE Financing") which closed on December 2, 2021, (b) 180,000 shares of Class A Common Stock which can be acquired upon the exercise of warrants acquired pursuant to the PIPE Financing, (c) 1,000,000 shares of Class A Common Stock purchased as part of the public units in the Aldel Financial Inc. initial public offering (the "IPO"), and (d) 500,000 shares of Class A Common Stock which can be acquired upon the exercise of warrants acquired in the IPO. There were 82,327,466 shares of Class A Common Stock outstanding as of December 2, 2021, according to the Issuer’s Form 8-K, filed on December 8, 2021. The shares reported above are held of record by Lake Avenue Investments, LLC, over which Mr. Walton exercises sole investment power.
