The percentages used in this Schedule 13G are calculated based upon 2,581,006 Class A Ordinary Shares outstanding, which is the difference obtained by subtracting (i) the 3,508,994 Class A Ordinary Shares redeemed in connection with the Company's shareholders' vote on September 29, 2022, from (ii) the 6,100,000 Class A ordinary Shares outstanding as reported in the Company's Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2022 filed with the Securities and Exchange Commission on August 15, 2022.
The Investment Manager serves as the investment manager to HB Strategies LLC and Hudson Bay SPAC Master Fund LP, in whose name the securities reported herein are held. As such, the Investment Manager may be deemed to be the beneficial owner of all securities held by HB Strategies LLC and Hudson Bay SPAC Master Fund LP. Mr. Gerber serves as the managing member of Hudson Bay Capital GP LLC, which is the general partner of the Investment Manager. Mr. Gerber disclaims beneficial ownership of these securities. |
