The percentage set forth in Row (11) of the cover pages for the Reporting Persons are based on 83,520,471 shares of common stock outstanding, as reported by the Issuer in its Quarterly Report on Form 10-Q, filed with the SEC on November 10, 2022 and an additional offering of 26,320,000 shares of common stock as reported by the Issuer in a Prospectus filed November 23, 2022 totaling 109,840,471.

.Biomedical Value Fund, L.P. (“BVF”) is the record holder of 4,499,999 shares of Common Stock (the “BVF Shares”). Such shares constitute 3.97% of the shares of Common Stock outstanding, computed in accordance with Rule 13d-3. BVF is the record holder of warrants to purchase an additional 4,499,999 shares of Common Stock (the “BVF Warrants”). As a result of the Beneficial Ownership Cap, 1,949,390 shares underlying such warrants are exercisable, which constitutes 1.72% of the shares of Common Stock outstanding, computed in accordance with Rule 13d-3.

Biomedical Offshore Value Fund, Ltd. (“BOVF”) is the record holder of 3,000,000 shares of Common Stock (the “BOVF Shares”). Such shares constitute 2.65% of the shares of Common Stock outstanding, computed in accordance with Rule 13d-3. BOVF is the record holder of warrants to purchase an additional 3,000,000 shares of Common Stock (the “BOVF Warrants”). As a result of the Beneficial Ownership Cap, 1,299,595 shares underlying such warrants are exercisable, which constitutes 1.15% of the shares of Common Stock outstanding, computed in accordance with Rule 13d-3.

Cheyne Global Equity Fund (an Open-Ended Fund of Cheyne Select Master Fund ICAV) (“CGEF”) is the record holder of 394,737 shares of Common Stock (the “CGEF Shares”). Such shares constitute .35% of the shares of Common Stock outstanding, computed in accordance with Rule 13d-3. CGEF is the record holder of warrants to purchase an additional 394,737 shares of Common Stock (the “CGEF Warrants”). As a result of the Beneficial Ownership Cap, 170,999 shares underlying such warrants are exercisable, which constitutes .15% of the shares of Common Stock outstanding, computed in accordance with Rule 13d-3.
