Shares reported include shares of Class A Common stock issuable upon conversion of shares of the Issuer’s Class B Common Stock, $.0001 par value per share. Shares of Class B Common Stock are convertible on a one-for-one basis into shares of Class A Common Stock and are entitled to five votes per share.

Item 4. Ownership:

Provide the following information regarding the aggregate number and percentage of the class of securities of the issuer identified in Item 1.

(a) Amount beneficially owned: 21,343,753

Includes: (i) 45,000 shares issuable upon exercise of options that are exercisable within 60 days of December 31, 2020; (ii) 12,490,671 shares issuable upon conversion of shares of Class B Common Stock held directly by the Reporting Person; and (iii) 170,938 shares issuable upon conversion of shares of Class B Common Stock held by the Ameresco 2017 Annuity Trust, of which the Reporting Person is the trustee and sole beneficiary.

Also includes (i) 1,175,000 shares held by the George P. Sakellaris 2012 Delaware Dynasty Trust (the “2012 Trust”) and (ii) 5,338,391 shares issuable upon conversion of shares of Class B Common Stock held by the CGS 2010 Irrevocable Trust (the "2010 Trust" and together with the 2012 Trust, the "Trusts"). The Reporting Person may be deemed the beneficial holder of the shares held by the Trusts and to share voting and dispositive power. The Reporting Person disclaims beneficial ownership of the shares held by the Trusts, and this schedule shall not be deemed an admission that the Reporting Person is the beneficial owner of the shares held by the Trusts for purposes of Section 13 or for any other purpose.

(b) Percent of class: 44.5% (based on 29,866,075 shares of Class A Common Stock outstanding as of November 2, 2020 as reported in the Issuer’s Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2020 and calculated in accordance with Rule 13d-3(d)).
