All shares of Common Stock in the aggregate represent beneficial ownership of approximately 1.9% of the Common Stock, based on (i) 3,534,015 outstanding shares of Common Stock (as defined below) as of November 9, 2020, as represented by the Issuer on the 10-Q filed with the Securities and Exchange Commission ("SEC") on November 12, 2020 plus (ii) 14,286 shares of Common Stock issuable upon exercise of a warrant held by Catalysis Partners, LLC (the "Warrant").

This amount comprises beneficial ownership of 68,572 shares of Common Stock, which consists of (i) 54,286 shares of Common Stock of the Issuer and (ii) 14,286 shares of Common Stock issuable upon the exercise of the Warrant held by Catalysis Partners, LLC, of which Francis Capital Management, LLC is the investment manager and general partner.

Francis Capital Management, LLC, which serves as the general partner and investment manager to Catalysis Partners, LLC, (the "Fund"), may be deemed to be the beneficial owner of all shares of Common Stock held by the Fund. Mr. John Francis, as Managing Member of Francis Capital Management, LLC, with the power to exercise investment and voting discretion, may be deemed to be the beneficial owner of all shares of Common Stock held by the Fund.
