Item 4. Ownership.

(a)	Amount beneficially owned:

As of the close of business on December 31, 2020, the Reporting Persons beneficially owned an aggregate of 359,267 of the Issuer’s Class A Ordinary Shares as a result of holding 359,267 of the Issuer’s units. Each unit consists of one of the Issuer’s Class A Ordinary Shares and one-half of one redeemable warrant. Each whole warrant entitles the holder to purchase one of the Issuer’s Class A Ordinary Shares. The Issuer’s warrants will become exercisable on the later of 30 days after the completion of the Issuer’s initial business combination and 12 months from the closing of the Issuer’s initial public offering. Specifically, as of the close of business on December 31, 2020,

(i)

The Onshore Fund beneficially owned 2,953 Class A Ordinary Shares;

(ii)

The Offshore Master Fund beneficially owned 1,911 Class A Ordinary Shares. The Offshore Feeder Fund, as the owner of a controlling interest in the Offshore Master Fund, may be deemed to have beneficially owned the Class A Ordinary Shares beneficially owned by the Offshore Master Fund;

(iii)

The Lugard Master Fund beneficially owned 354,403 Class A Ordinary Shares;

(iv)

The Wavefront Fund beneficially owned 0 Class A Ordinary Shares;

(v)

LCG Holdings, as the general partner of the Onshore Fund, the Offshore Master Fund and the Wavefront Fund may be deemed to have beneficially owned the 4,864 Class A Ordinary Shares beneficially owned by the Onshore Fund, the Offshore Master Fund and the Wavefront Fund;

(vi)

Lugard GP, as the general partner of the Lugard Master Fund, may be deemed to have beneficially owned the 354,403 Class A Ordinary Shares beneficially owned by the Lugard Master Fund;

(vii)

Mr. Green, as a managing member of Lugard GP, may be deemed to have beneficially owned the 354,403 Class A Ordinary Shares beneficially owned by Lugard GP.

(viii)

Luxor Capital Group, as the investment manager of the Onshore Fund, the Offshore Feeder Fund, the Offshore Master Fund, the Lugard Master Fund and the Wavefront Fund (collectively, the “Funds”), may be deemed to have beneficially owned the 359,267 Class A Ordinary Shares beneficially owned by the Funds;

(ix)

Luxor Management, as the general partner of Luxor Capital Group, may be deemed to have beneficially owned the 359,267 Class A Ordinary Shares beneficially owned by Luxor Capital Group; and

(x)

Mr. Leone, as the managing member of Luxor Management, may be deemed to have beneficially owned the 359,267 Class A Ordinary Shares beneficially owned by Luxor Management.

(b)	Percent of Class:

As of the close of business on December 31, 2020, the Reporting Persons may be deemed to have beneficially owned 359,267 of the Issuer’s Class A Ordinary Shares or less than 1% of the Issuer’s Class A Ordinary Shares outstanding (see Item 4(a) above), which percentage was calculated based on 60,000,000 of the Issuer’s Class A Ordinary Shares outstanding as of November 16, 2020, as per the information reported in the Issuer’s Form 10-Q filed November 16, 2020. Specifically, as of the close of business on December 31, 2020 each Reporting Person beneficially owned such percentage as reflected on Item 11 of the applicable Cover Page hereto.
