The reporting person’s beneficial ownership consists of 17,883 shares of Common Stock issuable on conversion of shares of preferred stock held by the reporting person and 8,943 shares of Common Stock issuable on conversion of preferred stock issuable on exercise of warrants held by the reporting person. The percentages reported in this Schedule 13G are based on 4,195,024 shares of Common Stock outstanding as of February 8, 2024, as reported in Amendment No. 3 to the Registration Statement filed by the Issuer on February 9, 2024.
