    Item 1(a). NAME OF ISSUER.
       
      The name of the issuer is Intuitive Machines, Inc. (formerly known as Inflection Point Acquisition Corp.) (the "Company").

     

    Item 1(b). ADDRESS OF ISSUER'S PRINCIPAL EXECUTIVE OFFICES:
       
      The Company's principal executive offices are located at 13467 Columbia Shuttle Street
    Houston, TX 77059.

     

    Item 2(a). NAME OF PERSON FILING:
       
      This statement is filed by:

     

      (i)

    P. Schoenfeld Asset Management LP ("PSAM"), a Delaware limited partnership, and the investment adviser to certain funds and accounts (the "PSAM Funds"), with respect to the shares of Class A Common Stock (as defined in Item 2(d) below) directly held by the PSAM Funds and the shares of Class A Common Stock issuable upon exercise of warrants directly held by the PSAM Funds; and

     

      (ii) Mr. Peter M. Schoenfeld ("Mr. Schoenfeld"), as the managing member of P. Schoenfeld Asset Management GP, LLC, a Delaware limited liability company that serves as the general partner of PSAM, with respect to the shares of Class A Common Stock directly held by the PSAM Funds and the shares of Class A Common Stock issuable upon exercise of warrants directly held by the PSAM Funds.

     

      The foregoing persons are hereinafter sometimes collectively referred to as the "Reporting Persons."
       
      The filing of this statement should not be construed as an admission that any of the forgoing persons or any Reporting Person is, for the purposes of Section 13 of the Act, the beneficial owner of the shares of Class A Common Stock reported herein.

      The percentages set forth herein are calculated based upon 21,027,892 shares of Class A Common Stock outstanding as of November 8, 2023, as reported in the Company's Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2023, filed with the Securities and Exchange Commission on November 13, 2023 and assumes the exercise of the warrants reported herein.
