The Reporting Persons that are companies are directly or indirectly wholly-owned by NNS Ltd, the parent entity of several legal entities established to hold and invest financial assets worldwide.  All of the shares in NNS Ltd are held for the NNS Jersey Trust on trust for Mr. Nassef Sawiris and his descendants.

NNS Holding is directly wholly-owned by NNS Holding (Cyprus) Ltd, which is directly wholly-owned by NNS Ltd, all of the shares of which are held for the NNS Jersey Trust.  Mr. Nassef Sawiris may be deemed to be the beneficial owner of such shares of Class A Common Stock held by NNS Holding.

Neither the filing of this Schedule 13G nor any of its contents shall be deemed to constitute an admission that any of these individuals is the beneficial owner of such shares for purposes of Section 13(d) of the Securities Exchange Act of 1934, as amended, or for any other purpose, except to the extent that any such reporting person actually exercises voting or investment power with respect to such securities.
