(1)Comprised of (a) 325,185 shares of the Issuer’s common stock held in the name of the Reporting Person, (b) 2,280,453 shares of the Issuer’s common stock held in two trusts for which the Reporting Person is the sole trustee, (c) 1,224,532 shares of the Issuer’s common stock held in three trusts for which the Reporting Person is not the trustee, (d) 9,000 shares of the Issuer’s common stock held by an immediate family member of the Reporting Person for which the Reporting Person shares voting and dispositive power, (e) options to purchase 860,153 shares of the Issuer’s common stock held by the Reporting Person that were exercisable as of December 31, 2021 or that have or will become exercisable within 60 days after December 31, 2021, (f) 87,415 shares of the Issuer’s common stock that are subject to restricted stock unit awards held by the Reporting Person and expected to vest within 60 days of December 31, 2021, and (g) 10,368 shares of the Issuer’s common stock held for the Reporting Person’s account under the Issuer’s Retirement Savings Plan.

(2)Percentage ownership of the Reporting Person was calculated using (i) 55,334,738 shares of the Issuer’s common stock outstanding as of December 31, 2021 (based on information provided by the Issuer) plus, (ii) 860,153 shares of the Issuer’s common stock subject to options held by the Reporting Person that were exercisable as of December 31, 2021 or that have or will become exercisable within 60 days of December 31, 2021, as such shares are deemed to be outstanding for the purpose of computing the percentage ownership of the Reporting Person, plus (iii) 87,415 shares of the Issuer’s common stock that are subject to restricted stock unit awards held by the Reporting Person and expected to vest within 60 days of December 31, 2021, as such shares are deemed to be outstanding for the purpose of computing the percentage ownership of the Reporting Person.
