Explanatory Note: This Amendment No. 2 (this “Amendment No. 2”) is being filed to amend and restate the Schedule 13G Amendment No. 1 filed by the Reporting Persons on February 13, 2024 (“Amendment No. 1”) to amend and supplement the original Schedule 13G filed with the United States Securities and Exchange Commission (the “Commission”) on February 10, 2022 (together with Amendment No. 1, the “Original Schedule 13G”). This Amendment No. 2 updates the percentage ownership of the Issuer’s Ordinary Shares by each of the Reporting Persons based on additional information shared by the Issuer with the Reporting Persons regarding the number of Ordinary Shares outstanding after the Reporting Persons filed Amendment No. 1. This amended Schedule 13 amends and restates in its entirety the information reported in Amendment No. 1. Only those items that are hereby reported are amended; all other items reported in the Original Schedule 13G remain unchanged. Information given in response to each item shall be deemed incorporated by reference in all other items, as applicable. Capitalized terms not defined in this Amendment No. 2 have the meanings ascribed to them in the Original Schedule 13G.
