See Items 5-9 and 11 of the cover page. The shares of Common Stock beneficially owned by the reporting person include 441,430 shares issuable on conversion of convertible debt of the Issuer. The percentages reported in this Schedule 13G are based on 75,668,826 shares of Common Stock outstanding as of November 7, 2022, as reported in the Proxy Statement filed by the Issuer on November 8, 2022.
