This Schedule 14D-9 filing relates solely to preliminary communications made before the commencement of a planned tender offer (the “Offer”) by Rothko Merger Sub, Inc., a Delaware corporation (“Purchaser”) and a wholly owned subsidiary of Aventis Inc., a Pennsylvania corporation (“Aventis”) and wholly owned subsidiary of Sanofi, a French société anonyme (“Parent”), to acquire all of the issued and outstanding shares of common stock, par value $0.001 per share, of Blueprint Medicines Corporation, a Delaware corporation (the “Company” or “Blueprint”), to be commenced pursuant to the Agreement and Plan of Merger, dated as of June 2, 2025, by and among Parent, Aventis, Purchaser and the Company (the “Merger Agreement”). Upon the consummation of the Offer, Purchaser will merge with and into the Company (the “Merger”) pursuant to Section 251(h) of the Delaware General Corporation Law, with the Company as the surviving corporation.
