This Schedule 14D-9 filing relates solely to preliminary communications made before the commencement of a planned cash tender offer (the “Offer”) by Incline Merger Sub Inc., a Delaware corporation (“Merger Sub”) and a wholly owned subsidiary of BioMarin Pharmaceutical Inc., a Delaware corporation (“Parent”), to acquire all of the outstanding shares of common stock, par value $0.0001 per share, of Inozyme Pharma, Inc., a Delaware corporation (the “Company” or “Inozyme”), to be commenced pursuant to the Agreement and Plan of Merger, dated as of March 16, 2025, by and among Parent, Merger Sub and the Company (the “Merger Agreement”). Upon the consummation of the Offer, Merger Sub will merge with and into the Company (the “Merger”) pursuant to Section 251(h) of the Delaware General Corporation Law, with the Company as the surviving corporation.
