Item 7.01 Regulation FD Disclosure.
On October 21, 2024, SecureWorks Corp. (the “Company,” “we,” “us,” or “our”) issued a press release announcing that the Company, Sophos Inc., a Massachusetts corporation (“Parent”) and Project Green Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”) entered into an Agreement and Plan of Merger (the “Merger Agreement”), dated October 21, 2024. Pursuant to the Merger Agreement, Merger Sub will merge with and into the Company, with the Company continuing as the surviving corporation and becoming a wholly owned subsidiary of Parent (the “Merger”). Parent and Merger Sub are affiliates of investment funds managed by Thoma Bravo, L.P.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The information required to be reported on a Current Report on Form 8-K with respect to the Merger Agreement will be filed by the Company in a separate Current Report on Form 8-K.
