Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 1, 2024, Brian Krzanich resigned from the Board of Directors (the “Board”) of SES AI Corporation (“SES AI”) effective immediately. Mr. Krzanich was recently appointed as Chief Executive Officer of Cerence Inc. and as a result has concluded that he is no longer able to dedicate the requisite time and attention needed to continue serving on SES AI’s Board at this time.
