Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On June 6, 2024, Paul Purcell resigned as a director of Sezzle Inc. (the “Company”) effective immediately, and declined to stand for reelection at the Company’s 2024 Annual General Meeting of Stockholders. Mr. Purcell resigned to focus on his increasing professional commitments, and did not resign as a result of any matter relating to the Company's operations, policies or practices.

On June 7, 2024, the Company issued a press release announcing Mr. Purcell’s resignation, which press release is filed as Exhibit 99.1 to this Current Report.
