Item 8.01 Other Events.
On October 18, 2024, Sierra Bancorp (the “Company”) issued a press release announcing that on October 17, 2024, its Board of Directors approved a share repurchase program for up to 1,000,000 shares of outstanding common stock beginning at the end of the expiration of the current share repurchase program on October 31, 2024 and continuing until October 31, 2025. The 1,000,000 shares authorized under the new share repurchase program are inclusive of any shares carried over from the terminated repurchase program. Shares may be purchased in the open market or in privately negotiated transactions and will be executed in compliance with applicable federal and state securities laws and bank regulations, including without limitation, Rules 10b-18 and 10b5-1 promulgated under the Securities Act of 1934, as amended (the “Exchange Act”). The board has also authorized management to enter into the 10b5-1 Plan with a nationally recognized broker as appropriate as long as the Company is not in a blackout period and the Company is not otherwise in possession of material non-public information. Repurchases by such broker are to be made in compliance with the Exchange Act.
Within the above referenced press release, the Company also announced that its Board of Directors approved a cash dividend to shareholders. The quarterly cash dividend of twenty-four cents ($0.24) per share of common stock will be payable on November 12, 2024, to shareholders of record at the close of business on October 31, 2024.
The press release issued by the Company in connection with the dividend is included as Exhibit 99.1 to this Current Report on Form 8-K and incorporated into this Item 8.01 by reference.
