Explanation of Responses:

1. In connection with estate planning, these shares were gifted by a revocable family trust for which the reporting person is the trustee with sole voting and dispositive power to a family foundation over which the reporting person has no voting or dispositive power and no pecuniary interest.

2. These shares of Common Stock are owned by a revocable family trust of which the reporting person is the trustee with sole voting and dispositive power over the shares.

Remarks:

As a result of the gift transaction reported above, the reporting person is no longer a 10% beneficial owner of the Issuer's Common Stock based on the number of outstanding shares of Common Stock of the Issuer most recently reported by the Issuer.
