On May 19, 2023, Sisecam Resources LP (the “Partnership”) issued a press release announcing the anticipated closing date of the previously-announced merger transaction contemplated by that certain Agreement and Plan of Merger, dated February 1, 2023, by and among the Partnership, Sisecam Chemicals Wyoming LLC, Sisecam Chemicals Newco LLC, and Sisecam Resource Partners LLC. The Partnership also announced the declaration of its pro rata second quarter 2023 distribution in connection with closing of the merger transaction. A copy of the Partnership’s press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
