Item 8.01 Other Events.

On May 13, 2022, Smart for Life, Inc. issued a press release announcing that it has executed a non-binding letter of intent with Diamond Creek Capital, LLC for the provision of a senior secured credit facility up to $4,000,000. A copy of the press release is furnished as Exhibit 99.1 to this report.
