Item 8.01

Other Events.

On August 29, 2022, Smart for Life, Inc. (the “Company”) became aware of an incorrect third-party news article suggesting that the Company was conducting an offering of its stock. The Company notified the news organization of the incorrect information, and the news organization has since issued a correction. The Company continues to evaluate what, if any, further actions should be taken. Moreover, to further clarify the matter, the Company hereby reiterates that it has no plans to conduct an offering of its common stock at this time.
