Item 8.01. Other Events
As previously reported, on September 24, 2024, Smart Powerr Corp., a Nevada corporation (the “Company”) received a letter from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”), notifying the Company that it had failed to comply with the $1.00 per share minimum bid price requirement of Nasdaq Listing Rule 5550(a)(2).
On August 1, 2025, the Company received a letter from the Staff notifying the Company that the Staff had determined that for the last 10 consecutive business days, from July 18, 2025 to July 31, 2025, the closing bid price for the Company’s common stock was at least $1.00 per share, and, accordingly, the Company has regained compliance with Listing Rule 5550(a)(2) and the matter is now closed. There can be no assurance, however, that the Company will be able to maintain compliance with Listing Rule 5550(a)(2) in the future.
