Departure of Dennis Durkin from the Board of Directors

On August 21, 2022, Dennis Durkin informed the Board of Directors (the “Board”) of Smartsheet Inc. (the "Company") of his intention to resign from the Board and its Audit Committee due to personal reasons, effective August 21, 2022. Mr. Durkin's resignation is not due to any disagreement with the Company or the Board on any matters relating to the Company’s operations, policies, or practices.
