Item 1.01. Entry into a Material Definitive Agreement.
On December 29, 2025, Society Pass Incorporated (the “Company”) commenced a best efforts public offering (the “Offering”) of 1,500,000 shares (the “Shares”) of the Company’s common stock, par value $0.0001 per share (the “Common Stock”). Certain investors purchasing securities in the Offering entered into a securities purchase agreement with the Company (the “Purchase Agreement”), dated as of December 29, 2025. The public offering price was $2.00 per Share. The Offering closed on December 31, 2025.
The net proceeds to the Company from the Offering were approximately $2.5 million, after deducting fees and expenses of the Placement Agent (as defined below) and estimated offering expenses payable by the Company. The Company intends to use the net proceeds from the Offering for working capital and general corporate purposes, including operating expenses and capital expenditures.
As compensation to Rodman & Renshaw LLC (the “Placement Agent”), pursuant to an engagement letter dated September 18, 2025, by and between the Company and the Placement Agent, pursuant to which the Placement Agent agreed to act as the exclusive placement agent in connection with the Offering, the Company paid the Placement Agent a cash fee equal to 7.0% of the aggregate gross proceeds raised in this Offering and reimbursed the Placement Agent for certain of its offering-related expenses, including $100,000 for reimbursement for legal fees and clearing costs in an amount up to $15,950.
The Purchase Agreement contained customary representations and warranties and agreements of the Company and the purchasers and customary indemnification rights and obligations of the parties, including for liabilities arising under the Securities Act of 1933, as amended (the “Securities Act”), other obligations of the parties and termination provisions. Pursuant to the terms of the Purchase Agreement, the Company shall not issue, enter into any agreement to issue or announce the issuance or proposed issuance of any shares of Common Stock or Common Stock Equivalents (as defined in the Purchase Agreement) or file any registration statement or prospectus, or any amendment or supplement thereto for a period commencing December 29, 2025 and expiring 90 days from the closing date of the Offering, subject to certain exceptions. Furthermore, the Company is also prohibited from effecting or entering into an agreement to effect any issuance by the Company or any of its Subsidiaries of Common Stock or Common Stock Equivalents involving a Variable Rate Transaction (as defined in the Purchase Agreement), for a period commencing on December 29, 2025 and expiring one year from the closing date of the Offering, subject to certain exceptions.
The shares of Common Stock described above were offered pursuant to the Registration Statement on Form S-1 (File No. 333-292060), which was declared effective by the Securities and Exchange Commission (the “SEC”) on December 29, 2025.
