Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On October 3, 2023, Sonos, Inc. (the “Company”) announced that Deirdre Findlay has been appointed as the Company’s Chief Commercial Officer, effective October 16, 2023. In connection with her appointment, Ms. Findlay resigned from the Board of Directors of the Company (the “Board”), effective October 3, 2023.

Immediately following Ms. Findlay’s resignation from the Board, the Board decreased its size from seven (7) to six (6) directors. The Company intends to conduct a director search process.

The Company’s press release announcing certain management changes, including Ms. Findlay’s appointment as Chief Commercial Officer, is attached as Exhibit 99.1 to this Current Report on Form 8-K.
