Item 5.02.			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 17, 2023, The Southern Company (the “Company”) filed a Current Report on Form 8-K (the “Original 8-K”) reporting the election of Ms. Shantella E. Cooper to its Board of Directors (the “Board”). At the time of filing the Original 8-K, Board committee assignments for Ms. Cooper had not been determined.

The Company is filing this Amendment No. 1 to the Original 8-K to report that, on February 5, 2024, the Board appointed Ms. Cooper to the Business Security and Resiliency Committee and the Nominating, Governance and Corporate Responsibility Committee, effective immediately.
