On February 25, 2025, The Southern Company (the “Company”) entered into an Underwriting Agreement with Barclays Capital Inc., Citigroup Global Markets Inc., Mizuho Securities USA LLC, MUFG Securities Americas Inc., PNC Capital Markets LLC and Truist Securities, Inc., as representatives of the several Underwriters named in Schedule I thereto (the “Underwriters”), covering the issue and sale of $1,800,000,000 aggregate principal amount of its Series 2025B 6.375% Fixed-to-Fixed Reset Rate Junior Subordinated Notes due March 15, 2055 (the “Series 2025B Junior Subordinated Notes”). The Series 2025B Junior Subordinated Notes were registered under the Securities Act of 1933, as amended, pursuant to the shelf registration statement (Registration No. 333-277138) of the Company.
