Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 5, 2026, Colin Bristow tendered his resignation as a director on the Board of Directors of the Company, with such resignation becoming effective immediately. Mr. Bristow’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
