Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 20, 2023, Sean Boyle informed the Board of Directors (the “Board”) of Splunk Inc. (the “Company”) of his resignation as a member of the Board of the Company, effective March 16, 2023. Mr. Boyle’s decision was not due to a disagreement with the Company. In connection with Mr. Boyle’s resignation from the Board, the Board decreased the authorized number of directors on the Board to ten directors, effective as of March 16, 2023.
