Item 5.07 Submission of Matters to a Vote of Security Holders.
On May 22, 2025, Sprout Social, Inc. (the “Company”) held its 2025 Annual Meeting of Stockholders (the “Annual Meeting”). At the Annual Meeting, stockholders voted on the following three proposals, each of which is described in detail in the Company's definitive proxy statement filed with the Securities and Exchange Commission on April 8, 2025. The final voting results for each proposal, as certified by the judge of election for the Annual Meeting, are described below. Fractional shares have been rounded up to the nearest whole number.
Proposal 1. The election of three Class III directors listed below to serve until the Company's 2028 annual meeting of stockholders and until their successor is duly elected and qualified.
