Item 8.01. Other Events.

On November 30, 2022, State Street Corporation announced that it has mutually agreed with Brown Brothers Harriman & Co. (BBH) to terminate the previously announced agreement for State Street to acquire BBH’s Investor Services business. The Sale and Purchase Agreement does not provide for a contractual penalty by either State Street or BBH in connection with this termination.
