Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 18, 2025, Edward J. Wehmer, a member of Board of Directors (the “Board”) of Stepan Company (the “Company”), notified the Board of his decision to retire from the Board, effective as of the 2025 Annual Meeting of Stockholders (the “2025 Annual Meeting”), which is scheduled for April 29, 2025. Mr. Wehmer’s decision to retire and not stand for re-election at the 2025 Annual Meeting was not due to any disagreement with the Company on any matter relating to its operations, policies or practices. Mr. Wehmer will continue to serve on the Board until the 2025 Annual Meeting.
Mr. Wehmer joined the Company’s Board in 2003. He has served as Lead Independent Director since 2016 and served as Chair of the Audit Committee from 2007 to 2023.
“Ed has brought his considerable expertise and talents to the Board, including his financial acumen, exceptional leadership and insightful approach to complex issues. On behalf of the Board, I would like to express our gratitude to Ed for his 22 years of service to Stepan Company,” said F. Quinn Stepan, Jr., Chairman of the Company’s Board. “Throughout his time on the Board, Ed has been strongly committed to and supportive of our Company’s growth and strategic direction, with a strong focus on delivering value to our shareholders. We are sincerely grateful for his leadership and guidance as the Company has grown during his tenure.”
Effective upon Mr. Wehmer’s retirement from the Board, the size of the Company’s Board will be reduced from eight to seven directors and Randall S. Dearth will succeed Mr. Wehmer as Lead Independent Director.
