Explanation of Responses:

1. Represents an equal number of restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock on the date it vests. The RSUs will vest in full on December 1, 2026, subject to the Reporting Person continuing to be a Service Provider through the vesting date. The RSUs were granted in connection with the Reporting Person's appointment as a strategic advisor to the Issuer effective as of December 2, 2025 and as interim chief financial officer effective as of January 1, 2026.
