On November 3, 2025, Strive, Inc. (the “Company”) issued a press release announcing that, subject to market
and other conditions, it intends to conduct an initial public offering of 1,250,000 shares of its Variable Rate Series A Perpetual Preferred Stock. A copy of the press release is filed hereto as Exhibit 99.1 and is incorporated herein by reference.
