Item 8.01 Other Events.
On March 6, 2026, Sunshine Biopharma Inc. (the “Company”) entered into an engagement agreement with Aegis Capital Corp. (“Aegis”) pursuant to which the Company engaged Aegis to act as the Company’s warrant solicitation agent, on a “best efforts” basis, to induce exercise of the Company’s outstanding warrants. The engagement agreement has a term of three months. The Company agreed to pay Aegis a fee of 10% of the gross proceeds the Company receives from any exercise of the Company’s outstanding warrants during the term of the engagement agreement and to reimburse certain expenses of Aegis.
