On September 30, 2025, Super League Enterprise, Inc. (the “Company”) and Yield Point NY, LLC (the “Purchaser”), entered into Amendment No. 1 to the Secured Convertible Promissory Note (the “Note Amendment”), originally issued on July 10, 2025, pursuant to that certain Securities Purchase Agreement (the “Purchase Agreement”), by and between the Company and the Purchaser, dated therewith. Pursuant to the Note Amendment: (i) the “Conversion Price” was amended to $5.95, subject to adjustment as set forth in the Note; and (ii) the “Floor Price” was amended to $1.19. All other terms and conditions of the Note remain in full force and effect.
